Contracts & Corporate Signatures Across Borders

Contracts with Ukrainian counterparties can be signed from Canada in two lawful ways: your representative signs in Ukraine under a power of attorney, or you sign in Canada before a notary with the signature certified, apostilled, and translated. Which route holds depends on the contract type and what the other side's notary or bank will accept. We check the accepting side's requirements before you sign anything.

Typical route

Contracts & Corporate Signatures Across Borders

01
Day 1–2
Acceptance check
We confirm with the receiving notary, bank, or counterparty which signing route and document form they accept.
02
Day 3–7
Text and signing route
The contract and, where needed, the POA or signature certificate are drafted and scheduled for signing.
03
Week 2
Sign and certify
You sign before a Canadian notary, or your representative signs in Ukraine under the POA; certification and apostille follow.
04
Week 2–3
Exchange and filing
Signed originals move by tracked courier; registration steps follow where the contract type demands them.
Documents typically required
The contract draft or the counterparty's template
POA naming the contract type, where a representative signs
Passport and RNOKPP of the signing person
Corporate extract or charter for company signatories
The receiving side's acceptance requirements in writing
What the route depends on
  • Contract type — some categories carry mandatory notarization or registration
  • Which side's notary sets the document form
  • Number of signing parties and their countries
  • Whether a Ukrainian qualified electronic signature is available to the signer
What can slow or block this
  • A POA whose scope misses the specific contract type, rejected at signature time
  • A counterparty signer whose USR authority expired or was never updated
  • Signature certificates refused because the apostille covers the wrong document layer
  • Electronic-signature certificates that need an in-person renewal step in Ukraine
TIMING
A straightforward certified signature with apostille typically runs 1–2 weeks; representative-signing routes follow the POA timeline plus the counterparty's schedule.
FEES
Scope-first quote per contract or per signing arrangement; notary, apostille, translation, and courier fees are listed as separate third-party costs.
WHO ELSE IS INVOLVED
Canadian notary · Ontario Official Documents Services or Global Affairs Canada (apostille) · Ukrainian notary or registrar on the receiving side · Sworn translator · Counterparty's lawyer or bank
Common questions
Can my representative sign any contract for me?
Only what the POA names. We draft POA scope contract by contract, so a leasing representative cannot sign a share sale, and each side's notary sees exactly the authorization they need.
When is the sign-in-Ukraine route better than signing in Canada?
When a Ukrainian notary must certify the deal itself — real estate and share transfers work this way. For ordinary commercial contracts, a certified and apostilled signature from Canada is often faster; the acceptance check tells you which holds.
How do I know the person signing for the other company is authorized?
We pull the counterparty's USR record and check who holds signing authority and under what limits. Anything stale or missing is raised before you commit, in plain language.
